AGREEMENT TO OUR LEGAL TERMS


We are WEBXES LLC, doing business as WEBXES ("Company," "we," "us," "our"), a limited liability company registered in Wyoming, United States, with our principal business address at 30 N Gould St Ste R, Sheridan, WY 82801, United States.

We operate the website https://www.webxes.com (the "Site"), as well as any other related products, digital services, proposals, and customer interfaces that refer or link to these Terms of Service (collectively, the "Services").

You agree that by accessing the Site and/or using any portion of our Services, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services or provided via separate written agreements from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates.

1. OUR SERVICES & CLIENT AGREEMENTS


WEBXES LLC is a professional digital technology and design agency. Our offerings include, but are not limited to:
  • Web Development: Custom frontend and backend engineering, marketing websites, and performance optimization.
  • E-Commerce Solutions: Store development, architecture, migrations, and optimization across platforms including Shopify, WooCommerce, and BigCommerce.
  • Graphic Design & Branding: Brand identity systems, digital UI/UX design, visual assets, and marketing collateral.
  • AI Solutions: Custom AI integrations, intelligent workflow automations, and AI agents.
  • Web Applications: SaaS platforms, internal software tools, portals, and progressive web apps.
  • WordPress Services: Custom WordPress and WooCommerce theme, plugin, and infrastructure development.
Relationship to Project Agreements: These general Terms of Service govern your public use of our website and preliminary communications with WEBXES LLC. Where a client enters into a separate signed statement of work ("SOW"), master services agreement ("MSA"), project contract, proposal, or formal service order with WEBXES LLC, the terms of that specific written agreement shall govern the engagement and shall prevail in the event of any direct conflict with these general Terms of Service.


2. INTELLECTUAL PROPERTY RIGHTS


Our Intellectual Property

Unless otherwise indicated, WEBXES LLC is the owner or licensee of all intellectual property rights in our Site and Services, including all source code, databases, website designs, audio, video, text, photographs, animations, graphics, templates, internal frameworks, tools, software libraries, and know-how (collectively, the "Content"), as well as the trademarks, service marks, logos, and brand assets contained therein (the "Marks"). Our Content and Marks are protected by copyright, trademark, trade dress, unfair competition laws, and international treaties.

Limited License for Website Use

Subject to your ongoing compliance with these Terms of Service, we grant you a non-exclusive, non-transferable, revocable license to access the Site and view or download a temporary copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal informational review of our services. No part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

Client Materials and Project Deliverables

All materials, trademarks, copy, images, credentials, customer data, and proprietary assets provided by clients to WEBXES LLC ("Client Materials") remain the exclusive property of the respective client. WEBXES LLC claims no ownership over Client Materials. Ownership and licensing of customized deliverables developed for a client (including custom graphics, website themes, or custom software code) are governed by the specific terms of the applicable client project agreement or statement of work upon full payment of all agreed-upon fees.

User Submissions & Feedback

If you transmit unsolicited feedback, ideas, feature suggestions, or questions to us ("Submissions"), you acknowledge that such Submissions are non-confidential and agree that WEBXES LLC shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose without compensation or acknowledgment to you.


3. USER REPRESENTATIONS


By accessing or using the Site and Services, you represent and warrant that:
  • You have the legal capacity and agree to comply with these Terms of Service.
  • You are not a minor in the jurisdiction in which you reside (or have received parental/guardian consent).
  • If accessing the Services on behalf of a company or entity, you have the full legal authority to bind that entity to these Terms.
  • You will not access the Services through automated, scraping, or non-human means (except standard search engine indexing).
  • You will not use the Services for any unlawful, fraudulent, or unauthorized purpose.
  • Your use of the Services will not violate any applicable local, state, national, or international law or regulation.


4. PROHIBITED ACTIVITIES


You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
  • Systematically retrieve data, code, or content from the Services to create or compile a database, directory, or dataset without written permission from us.
  • Circumvent, disable, or interfere with security-related features of the Site or features that restrict use or copying of any Content.
  • Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive information or credentials.
  • Upload or transmit viruses, Trojan horses, malware, ransomware, or any code designed to interrupt, destroy, or limit the functionality of any software or hardware.
  • Engage in unauthorized framing of or linking to the Services without authorization.
  • Harass, annoy, intimidate, defame, or threaten any of our employees, contractors, or agents engaged in providing Services.
  • Reverse engineer, decompile, or disassemble any part of the Site’s underlying proprietary software or algorithms, except where permitted by applicable law.
  • Use the Services in any manner that infringes or misappropriates the intellectual property or privacy rights of any third party.
  • Use the Services in a manner inconsistent with any applicable laws, export regulations, or industry sanctions.


5. CLIENT ENGAGEMENTS, PROPOSALS & PAYMENTS


Proposals and Quotations: Information, case studies, and pricing estimates displayed on our website or marketing pages are for informational purposes and do not constitute a binding formal offer. Binding terms, project scope, deliverable milestones, timelines, and costs are established only in a mutually agreed written proposal, statement of work (SOW), or invoice issued by WEBXES LLC.

Invoicing and Payments: Unless otherwise specified in a client agreement, invoices are payable in accordance with the payment terms specified on the applicable invoice or contract. Payments may be processed via credit card, ACH, bank wire, or approved third-party merchant gateways. You agree to provide current, complete, and accurate billing information for all transactions.


6. THIRD-PARTY SERVICES & PLATFORMS


In delivering client solutions and maintaining our website, WEBXES LLC frequently integrates with, builds upon, or references third-party software, cloud infrastructure, hosting providers, and platforms (including but not limited to Shopify, WordPress, WooCommerce, BigCommerce, Stripe, Vercel, AWS, Google Cloud, and OpenAI).

You acknowledge and agree that your use of third-party platforms is subject to the respective terms and privacy policies of those third-party providers. WEBXES LLC is not responsible or liable for any outages, data loss, policy modifications, API deprecations, pricing changes, or security breaches occurring on third-party platforms beyond our direct control.


7. AI SOLUTIONS & LIMITATIONS


WEBXES LLC provides artificial intelligence integrations, automated workflows, and AI agent implementations. Due to the probabilistic and evolving nature of machine learning and large language model technologies:
  • No Guarantee of Accuracy: We do NOT warrant or guarantee that AI-generated outputs, text, automated responses, or algorithmic inferences will be error-free, accurate, unbiased, or suitable for any specific mission-critical purpose.
  • Human Review: Clients and users are solely responsible for reviewing, testing, verifying, and approving any AI-generated outputs, automated communications, or code before deployment into production or reliance thereon.
  • Third-Party Model Dependencies: AI services may rely on third-party foundation model APIs. WEBXES LLC shall not be liable for model outages, changes in third-party API availability, hallucinated responses, or third-party service deprecations.


8. WEBSITE AVAILABILITY & MODIFICATIONS


We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the public Site without notice at any time.

We do not guarantee that the Site or Services will be available at all times. We may experience hardware, software, or network issues or need to perform scheduled or unscheduled maintenance, resulting in interruptions, delays, or errors. You agree that WEBXES LLC has no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime.


9. PRIVACY POLICY


We care about data privacy and security. Please review our Privacy Policy at https://www.webxes.com/privacy-policy. By using the Site or Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Service.


10. TERM & TERMINATION


These Terms of Service shall remain in full force and effect while you use the Site or Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW.

Termination or expiration of active client projects, deliverables, or ongoing retainer agreements shall be governed by the specific terms outlined in the applicable written client contract.


11. DISCLAIMER OF WARRANTIES


THE SITE AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEBXES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, TIMELINESS, OR COMPLETENESS OF THE SITE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THIS SITE. WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY: (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES; (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN; (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; OR (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR HARMFUL CODE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY.


12. LIMITATIONS OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WEBXES LLC, ITS MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION (WHETHER IN CONTRACT, TORT, WARRANTY, STRICT LIABILITY, OR OTHERWISE) SHALL BE LIMITED AS FOLLOWS: (A) WHERE A PAID CLIENT ENGAGEMENT EXISTS, LIABILITY SHALL BE LIMITED TO THE TOTAL FEES ACTUALLY PAID BY YOU TO WEBXES LLC FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM; AND (B) FOR GENERAL USERS AND WEBSITE VISITORS WHERE NO FEES WERE PAID, OUR LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO US.

CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.


13. INDEMNIFICATION


You agree to defend, indemnify, and hold harmless WEBXES LLC, its subsidiaries, affiliates, and all of their respective officers, members, directors, employees, contractors, and agents from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your access to or use of the Site or Services; (2) your breach of these Terms of Service; (3) any breach of your representations and warranties set forth herein; (4) your violation of the rights of a third party, including intellectual property, privacy, or publicity rights; or (5) any Client Materials or content you provide to us that causes damage to a third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.


14. GOVERNING LAW


These Terms of Service and your use of the Site and Services shall be governed by and construed in accordance with the substantive laws of the State of Wyoming, United States, without regard to its principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.


15. DISPUTE RESOLUTION


Informal Resolution

To expedite resolution and manage costs, you and WEBXES LLC agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms of Service or your use of the Services informally and in good faith prior to initiating any formal legal action. Informal discussions shall commence upon receipt of written notice from one party to the other party at the contact details provided in these Terms.

Court Jurisdiction & Venue

If a dispute cannot be resolved through informal discussions, any legal suit, action, or proceeding arising out of or related to these Terms of Service or the Services shall be instituted in the state or federal courts located in the State of Wyoming, United States. You and WEBXES LLC irrevocably submit to the jurisdiction of such courts in any such suit, action, or proceeding.

Equitable and Injunctive Relief

Notwithstanding the foregoing, nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, trade secrets, or confidential information.


16. ELECTRONIC COMMUNICATIONS & TRANSACTIONS


Visiting the Site, submitting contact inquiries, receiving proposals, and sending emails to WEBXES LLC constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically (via email and on the Site) satisfy any legal requirement that such communications be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, INVOICES, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, or rules in any jurisdiction which require an original non-electronic signature or physical delivery of paper records.


17. MISCELLANEOUS & SEVERABILITY


These Terms of Service and any policies, statements of work, or operating guidelines posted by us on the Site constitute the entire agreement and understanding between you and WEBXES LLC regarding your use of the Services, superseding any prior or contemporaneous oral or written agreements.

Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any event beyond our reasonable control (force majeure), including acts of God, war, terrorism, labor disputes, internet or telecommunications outages, or government actions.

If any provision or part of a provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and WEBXES LLC as a result of these Terms of Service or use of the Services.
